Therapist Terms of Use

Version 1.4

These terms apply to therapists who work through Mind Renew. You accept them when you apply, and you sign them when you set up your account.

For questions about these terms, contact us at info@mind-renew.com.

1.What Mind Renew does

Mind Renew connects qualified therapists with clients who are ready to do meaningful work. We provide the infrastructure: your profile, booking, video sessions, payments, and client tools. The therapy itself is yours. The clinical relationship, professional responsibility, and duty of care remain entirely between you and your client.

2.Joining the platform

To join, you must hold a valid professional licence and active professional insurance. We verify these before approving your profile and reserve the right to request updated proof at any time. If your professional status changes, you are required to notify us immediately. We reserve the right to suspend or remove access without giving reasons.

3.How we work financially

In our current phase, Mind Renew charges a commission on each completed session, deducted automatically before your payout. There are no monthly fees. Mind Renew acts as an intermediary in the collection of payments. Payments made by your clients for sessions and packages are collected by Mind Renew through Stripe, in your name and on your behalf. Mind Renew retains its commission and transfers the remaining amount to your Stripe account. You are the provider of the services and are responsible for issuing the invoice or receipt to your client. Mind Renew invoices you for its commission. Value added tax is applied to this invoice in accordance with the rules of your place of establishment; where you hold an EU VAT identification number, Mind Renew verifies it through the European Commission's VIES system. You may refund payments made by your clients, in full or in part, up to the amount paid, either in money or as session credits. When you refund a payment in money, Mind Renew refunds its commission on the refunded amount in proportion, so that your client receives the full amount refunded. Payment processing fees charged by Stripe are not returned by Stripe when a payment is refunded. Mind Renew currently bears these fees; Mind Renew may in future deduct them from the amount reversed from you, after giving you at least 30 days' written notice. You are responsible for correcting your own invoice where required. Mind Renew may also make a refund in exceptional cases, such as a payment dispute or the end of your participation on the platform. If a client disputes a payment with their card issuer (a chargeback), Mind Renew handles the dispute with Stripe and may ask you for information, for example confirmation that the session took place. The outcome is decided by the client's card issuer. Where the dispute is decided in the client's favour, Mind Renew may reverse the amount transferred to you for that payment, and Mind Renew's commission on it is returned in proportion. Fees charged by Stripe for handling a dispute are currently borne by Mind Renew; Mind Renew may in future deduct them from your payouts after giving you at least 30 days' written notice. As the platform grows, we intend to transition to a subscription-based model. When we do, we will communicate the specific terms, pricing, and timeline in writing with a minimum of 30 days notice before any change takes effect. You will have the opportunity to review the new terms before they apply to you.

4.Tax and financial responsibility

You act as an independent professional and are solely responsible for your own tax and social security obligations in your country of tax residence, including, where applicable in Portugal, the issuing of recibos verdes, IRS declarations and social security contributions. Mind Renew does not withhold tax on your behalf and does not provide tax advice.

5.Tax reporting obligations

Mind Renew collects, verifies and retains the following information about you: your full legal name, primary address, date of birth, tax identification number and its issuing country, your VAT identification number where applicable, and the financial account to which your payouts are made. This information is required to verify your identity and to issue Mind Renew's commission invoices. If you are resident in a Member State of the European Union, Mind Renew is in addition required, under Council Directive (EU) 2021/514 (DAC7) and its transposition into Portuguese law, to report the amounts paid to you through the platform to the Autoridade Tributária e Aduaneira once a year, and to provide you with a copy of this information. If the required information has not been provided after two reminders, Mind Renew may suspend your payouts until it is complete.

6.Client records and data

Client records created through the platform remain within the Mind Renew system and are subject to GDPR. Therapists may access their client records for clinical purposes during the period of their engagement with the platform. Upon termination of this agreement, access to client records will be subject to a transition period agreed between both parties, with client welfare as the primary consideration. Therapists may not export, copy, or retain client data outside the platform without explicit written consent from the client.

7.Confidentiality

Therapists agree to maintain strict confidentiality of all client information accessed through the platform, in accordance with GDPR and their professional licensing obligations. Any suspected breach of client confidentiality must be reported to Mind Renew immediately.

8.Practice figures

To support you and to make sure clients are helped on time, Mind Renew looks at figures about your practice on the platform: how quickly you answer booking requests, sessions cancelled or moved, your open and booked hours, profile views and bookings, the number of returning clients, your last login and how quickly messages are answered. These are counts only: never client names, session notes, assessments or the content of messages. They inform a conversation with you and never change your profile automatically. You can see your own figures in your workspace, and you can object at any time by writing to info@mind-renew.com.

9.Professional standards

Therapists on Mind Renew are independent professionals expected to practise in accordance with the ethical standards and regulations of their licensing body. Any conduct that is unprofessional, unethical, or unlawful may result in removal from the platform.

10.Liability and disputes between therapist and client

Mind Renew provides the platform infrastructure and is not a party to the therapeutic relationship. Any dispute, complaint, or legal matter arising between a therapist and a client is solely the responsibility of the parties involved. Mind Renew does not accept liability for clinical outcomes, client disputes, or any legal proceedings between therapists and clients. Therapists agree to hold Mind Renew harmless from any claims arising from their professional practice. Mind Renew does not accept liability for events outside its reasonable control, including technical failures of third-party services.

11.Platform use

Access to the Mind Renew platform is personal and non-transferable. Therapists may not reproduce, resell, or share any part of the platform with third parties. Misuse of the platform, including unauthorised access or use of client data, will result in immediate termination of access.

12.Disputes between therapist and Mind Renew

In the event of a disagreement between a therapist and Mind Renew, both parties agree to first seek resolution through direct written communication. If no resolution is reached within 30 days, the matter will be referred to mediation before any legal proceedings are initiated.

13.Ending the relationship

Either party may end this agreement with 30 days written notice. Mind Renew may terminate immediately in cases of misconduct, licence revocation, or serious breach of these terms. Upon termination, any sessions already scheduled will be honoured where clinically appropriate, and any outstanding payments for completed sessions will be processed in the next regular payout cycle. If your clients hold unused session credits for sessions with you when your participation ends, you either complete those sessions or refund the unused credits to the client at the price per session paid. Mind Renew refunds its commission on refunded credits in proportion and may make the refund on your behalf.

14.Governing law

These terms are governed by Portuguese law.
